The Germans need diamonds to complete their rockets to destroy the Allies, diamonds from Allied-held Africa. The Allies need the plans to a gyroscope to defeat the Germans, plans which are held by the Germans. The military/industrial communities of both sides agree to an exchange so that the war can be brought to its conclusion.
